Pilot terms of service

Between: Daniel McGrath (ABN 40 217 739 279) trading as TrueK ("TrueK") and the business identified at signup ("you").

1. The service

TrueK connects to your Square and Xero accounts (with your authorisation) and provides menu profitability analysis: item costs, gross profit per item, variance tracking, price-change alerts, a dashboard, and email reports.

2. Pilot program

You are participating in TrueK's founding pilot. No fee is payable during the pilot: founding cafes are onboarded at no charge, with no card, no contract and no setup fee. The founding rate below applies only if you choose to continue on a paid subscription once the pilot ends. Being a founding cafe means: (a) the founding-member rate of $99/month (incl. GST) applies for as long as your subscription remains continuously active, and will not increase while it does. This rate is limited to the first five founding cafes. If your subscription is cancelled or lapses, any new subscription is at TrueK's then-current rates. The founding rate covers the subscription service described in clause 1; any separately offered product is priced separately. TrueK's advertised rate is $200/month (incl. GST). Cafes who purchase the Repricing Report and then subscribe pay $150/month for as long as the subscription remains active. The founding rate replaces either of those entirely rather than stacking with them, and is better than both. (b) features may change, improve, or occasionally break, and we will tell you when they do; (c) we may ask for feedback; and (d) either party may end the pilot with 14 days' notice, with any prepaid fees for the unused period refunded pro-rata.

3. Information, not advice, and your decisions

TrueK provides observations and calculations based on data from your own systems. TrueK does not provide financial, accounting, tax, legal, or workplace-relations advice, and nothing in the service is a recommendation to change prices, menus, suppliers, or staffing. All business decisions are yours. We encourage you to consult your accountant or adviser before making significant decisions.

4. Accuracy and its limits

TrueK's figures are only as accurate as the data in your Square and Xero accounts and the recipes you confirm. In particular: (a) margins are calculated before labour costs unless stated otherwise; (b) items without matched cost data are shown as "no cost data", not estimated; (c) reports state their data completeness; and (d) figures flagged "under review" should not be relied on until resolved. You should verify any figure before relying on it for a significant decision.

5. Your obligations

You warrant that: (a) you are authorised to connect the Square and Xero accounts you connect; (b) you will keep your login credentials secure; and (c) you will use the service only for your own business.

6. Data

Our handling of personal information is governed by our Privacy Policy. Your business data remains yours. We use it only to provide the service to you. On termination, we delete your business data within 30 days of your request, except records we must keep by law.

7. Availability

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance and third-party outages (Square, Xero, AWS) may interrupt syncing or reporting.

8. Liability

Consumer guarantees preserved: nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted, or modified. Limitation for consumer guarantee failures: the TrueK service is not of a kind ordinarily acquired for personal, domestic, or household use or consumption. Accordingly, and to the full extent permitted by section 64A of the Australian Consumer Law, TrueK's liability for a failure to comply with a consumer guarantee in relation to the service is limited, at TrueK's option, to supplying the service again or paying the cost of having the service supplied again. General limitation: for any liability not covered above and not otherwise incapable of limitation by law, TrueK's total aggregate liability arising out of or in connection with these terms or the service is capped at the total fees you paid to TrueK in the 3 months immediately before the event giving rise to the claim. Consequential loss: subject to the consumer-guarantee clauses above, and to the extent permitted by law, neither party is liable to the other for indirect or consequential loss, including loss of profits, revenue, or anticipated savings. This does not limit your obligation to verify figures before relying on them (clause 4).

9. Termination

You may cancel at any time from Settings or by email. We may suspend or terminate for non-payment or breach of these terms with reasonable notice. Clauses 3, 4, 6, and 8 survive termination.

10. General

These terms are governed by the laws of Victoria, Australia. We may update these terms with 30 days' email notice; continued use after the notice period is acceptance.
